1.1 This project and all original code associated therewith, including any modifications or alterations, (collectively, the “Software”) is property of the University of Waterloo (the “University”).

2.1 You are granted a non-exclusive, non-transferable license to use the Software. The University reserves all rights not expressly granted under this License.
2.2 In the course of your use of the Software, you are free to modify the Software and publish patches to the Software.
2.3 You agree that the University and its licensors (as applicable) retain all right, title and interest in and to all modifications and patches, and all such modifications and/or patches may only be used, copied, modified, displayed, distributed or otherwise exploited in association with authorized copies of the Software distributed by the University.
2.4 You are not granted any other rights beyond what is stated in this License. You are not permitted to copy, merge, publish, distribute, sublicense, sell the Software, or provide the Software as a paid service without prior written authorization from the University.
2.5 The terms of this Software License are subject to change without notice, at the sole discretion of the University. The University may revoke this Software License as it applies to any user immediately upon notice to that user.
- No Warranty and Entire Agreement
3.1 THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
3.2 This Software License constitutes the entire agreement between the Authorized User and the University, and supersedes all other prior agreements or understandings.
- Third Party Works
4.1 To the extent that the Software incorporates works owned by third parties, the terms and conditions prescribed by the third party apply to those incorporated works.
4.2 The University may at any time elect that the applicable terms and conditions of third party works be expressly incorporated and applied as part of this Software License, but the University shall not be responsible for any guarantee, warranty or performance assurance given by a third party.
- Governing Law and Forum Selection
5.1 This Software License and any dispute arising in connection with this Software License shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without reference to conflict of law principles, and all parties irrevocably submit to the Courts of the Province of Ontario and the Federal Court of Canada therein with respect to any such dispute.
